Dandy has reimagined the traditional dental lab with technology and innovation. With Dandy, you

can scan patients, place and manage orders, or chat with support, all from a single integrated

platform, saving you and your staff precious time throughout their day.

Our platform helps you provide the best patient care by learning your preferences, helping you

improve scanning technique and ensuring your orders are delivered on time with the consistent

quality you expect.

Dandy makes it easy to transition to digital dentistry with 1-on-1 scanner and workflow training,

optional live scan reviews, and ongoing tech support for your entire practice. Your practice

receives a dedicated account manager and customer support team, so you’re always working with

advocates who know your practice inside and out.

We have clinical specialists for every lab product we offer. These specialists are always available to

help with case planning and clinical questions and can offer personalized training and support on

each digital workflow.

This Practice Agreement (the “Agreement”) is made and entered into by and between Dandy (“Dandy” or

“we”) and you and your dental practice or office as indicated in the signature line below (“You”). If you enter

into this agreement on behalf of an entity, partnership, corporation, or organization, “You” includes you, that

entity, and all entity users and you hereby represent that you have the authority to bind all such users. The

parties agree to the following:

1. Billing & Payments. On the first of each month, Dandy will issue an invoice for all orders placed in the

previous month. You will have seven 7 calendar days to review the invoice. Dandy will automatically charge

your chosen payment method on the eighth (8th) day of each month. We accept payment by ACH or credit

card, and you are required to keep a valid payment method on file at all times. Dandy reserves the right to

charge the credit card you place on file a processing fee of up to 2.9% on the total transaction amount,

unless otherwise prohibited by applicable law. Dandy does not accept paper checks, prepaid credit cards,

peer-to-peer payments, or crypto currency as valid payment methods. In the event you have any unpaid

balances for sixty 60 days or more, or the amount owed to Dandy is $10,000 USD or more, Dandy

reserves the right to pause your account until all unpaid balances are remitted. You further acknowledge

that Dandy has disclosed the possibility of processing fees and has provided the opportunity to ask any

questions regarding such fees prior to entering this Agreement. You agree to indemnify and hold harmless

Dandy from any claims, damages, or losses arising from any such surcharges imposed by third-party

service providers.

2. Required Monthly Minimum of Lab Work. You agree to order at least $ 500 USD of lab work from Dandy

every calendar month while this Agreement remains active (your “Required Monthly Minimum”). If the total

value of your lab order volume for the month does not meet or exceed your Required Monthly Minimum,

Dandy will charge you the difference between your total order amount for that month and your Required

Monthly Minimum (referred to as your “Unmet Minimum Balance”). The Required Monthly Minimum spend

will apply beginning in the first full month that you have access to the Dandy Practice Portal after your

practice location has completed training or you have placed your first order, whichever occurs first.

Contract Terms (Continued)

3. IT Requirements. You agree to provide and maintain a high-speed internet connection for use in

connection with the Equipment and you agree to follow the IT Policies included in the online terms and

conditions.

4. Dandy's Warranty. We stand behind the quality of our lab products. Titanium implant abutments have a

lifetime warranty against the product breaking during the ordinary course of use due to a defect in

materials, manufacturing, or workmanship. All fixed products (namely, crowns, bridges, implant crowns,

implant bridges, inlays, onlays, veneers, and Zirconia implant abutments) have a ten 10 year warranty

against the product breaking during the ordinary course of use due to a defect in materials, manufacturing,

or workmanship. All partial and full dentures, night guards, splints, sleep apnea devices, clear aligners,

retainers and bleaching trays have a warranty against wear-and-tear for the first six months from the

delivery date, and have a ten year warranty against the product breaking during the ordinary course of use

due to a defect in materials, manufacturing, or workmanship. Under Dandy’s warranty, Dandy will repair or

replace the product or refund the original price paid, at Dandy’s sole discretion. The warranty will be voided

if the restoration is not regularly maintained and checked by a qualified dental professional.

5. Termination. Either you or Dandy may terminate this Agreement at any time provided that the terminating

party provides the other party ten 10 days advance written notice. If this Agreement is terminated, you

remain obligated to pay for all open orders placed with Dandy, and you will remain responsible for meeting

that calendar month’s Required Monthly Minimum or Dandy can end the partnership at any time and must

give the other party a 10 day written notice.

6. Training. You, and anyone in your dental practice who will use Chairside, the Dandy Practice Portal, any

digital services or support, any hardware and/or software, and fixed and removable Dandy Products

(together, the “Dandy Offerings”) will attend a Dandy virtual training prior to using or discussing the Dandy

Offerings with patients.

7. Practice Change of Control. If your practice undergoes a change of control from an ownership

perspective, you agree to inform Dandy with written notice within five 5 business days of such change in

control.

8. Medical Disclaimer. Your practice is solely responsible for the treatment of patients using any Dandy

Offerings, and for providing your patients with all relevant information about the Dandy Offerings and any

related risk prior to and after treatment. The Dandy Offerings are offered solely as a supplement to your

dental practice and do not constitute medical, dental or other healthcare advice, diagnosis or treatment to

or for your patients. You agree not to make any representations or warranties regarding the Dandy Offerings

to your patients. You represent to Dandy that your practice will comply with all applicable state laws

regarding professionals who are authorized to conduct intraoral scans on practice patients. Except as

otherwise expressly provided herein, the Dandy Offerings provided to you hereunder are provided “AS IS.”
